{"id":1352,"date":"2026-02-12T11:03:28","date_gmt":"2026-02-12T10:03:28","guid":{"rendered":"https:\/\/matvision.eu\/?page_id=1352"},"modified":"2026-03-24T00:01:07","modified_gmt":"2026-03-23T23:01:07","slug":"terms-conditions","status":"publish","type":"page","link":"https:\/\/matvision.eu\/fr\/terms-conditions\/","title":{"rendered":"Terms and Conditions"},"content":{"rendered":"<p><em>Note: Translated English version available below.<\/em><\/p>\n\n\n\n<p><strong>FR : Nos conditions g\u00e9n\u00e9rales de ventes sont reprises ci-apr\u00e8s :<\/strong><\/p>\n\n\n\n<p>Version&nbsp;: 20260127<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 1 : Champ d\u2019application<\/h3>\n\n\n\n<p>Sauf convention particuli\u00e8re entre parties, toutes les dispositions des pr\u00e9sentes conditions g\u00e9n\u00e9rales de la SRL Matvision (coordonn\u00e9es en bas) sont applicables \u00e0 toutes les conventions (pr\u00e9sentes et futures) conclues par nous avec nos clients. Les conditions g\u00e9n\u00e9rales du client, ainsi que toute modification apport\u00e9e par le client \u00e0 nos conditions g\u00e9n\u00e9rales et\/ou particuli\u00e8res, ne nous sont jamais opposables, sauf accord expr\u00e8s et \u00e9crit de notre part. Le fait que nous n\u2019invoquions pas une disposition des pr\u00e9sentes conditions g\u00e9n\u00e9rales \u00e0 un moment donn\u00e9 ne pourra jamais \u00eatre interpr\u00e9t\u00e9 comme une renonciation de notre part \u00e0 nous en pr\u00e9valoir ult\u00e9rieurement.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 2 : Etude de faisabilit\u00e9<\/h3>\n\n\n\n<p>Si le client nous envoie de la mati\u00e8re afin de nous permettre d\u2019\u00e9valuer la faisabilit\u00e9 d\u2019une \u00e9ventuelle collaboration, cette mati\u00e8re est envoy\u00e9e aux risques et p\u00e9rils du client, qui assure l\u2019emballage utilisant des contenants adapt\u00e9s et s\u00e9curis\u00e9s. Le client est seul responsable des accidents survenus en raison de la non-ad\u00e9quation de l\u2019emballage et des dommages en r\u00e9sultant. Le client d\u00e9dommagera et indemnisera Matvision ses soci\u00e9t\u00e9s affili\u00e9es, ainsi que leurs administrateurs, dirigeants, employ\u00e9s et mandataires, de toute r\u00e9clamation de tiers, responsabilit\u00e9, dommage, co\u00fbt et d\u00e9pense (y compris les frais raisonnables d\u2019assistance juridique) r\u00e9sultant directement ou indirectement r\u00e9sultant de tels accidents.<\/p>\n\n\n\n<p>Le client informe Matvision d\u00fbment et par \u00e9crit d\u2019\u00e9ventuelles dangerosit\u00e9s de la mati\u00e8re envoy\u00e9e et des mesures sp\u00e9cifiques \u00e0 prendre pour la manipuler.<\/p>\n\n\n\n<p>Vu cet objectif d\u2019\u00e9valuer cette mati\u00e8re, le client accepte le risque de la d\u00e9t\u00e9rioration de cette mati\u00e8re lors des essais ou manipulations, et de la perte lors du transport. La responsabilit\u00e9 de Matvision \u00e0 cet \u00e9gard est exclue sauf en cas de dol ou de faute grave de Matvision ayant caus\u00e9 la perte ou la d\u00e9t\u00e9rioration. Apr\u00e8s la fin de l\u2019\u00e9tude de faisabilit\u00e9 ou d\u00e8s que Matvision le demande, le client assure que la mati\u00e8re soit r\u00e9cup\u00e9r\u00e9e dans les meilleurs d\u00e9lais.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 3&nbsp;: Commande<\/h3>\n\n\n\n<p>Nos offres sont valables pendant un d\u00e9lai d\u2019un mois. L&#8217;annulation par le client d&#8217;une de ses commandes entra\u00eenera de plein droit l\u2019exigibilit\u00e9 d&#8217;une indemnit\u00e9 forfaitaire et irr\u00e9vocable \u00e9gale aux montants d\u00e9j\u00e0 vers\u00e9s pour confirmer la commande, avec un minimum de 30 % du prix global de la commande, en notre faveur, cette indemnit\u00e9 \u00e9tant destin\u00e9e \u00e0 couvrir les frais administratifs expos\u00e9s pour l&#8217;\u00e9tablissement des offres, la correspondance, la gestion des stocks, ainsi que notre perte de b\u00e9n\u00e9fice. Toute commande livr\u00e9e est due et payable int\u00e9gralement.<\/p>\n\n\n\n<p>Toute commande est ferme et d\u00e9finitive, qu\u2019elle soit effectu\u00e9e par t\u00e9l\u00e9phone, par \u00e9crit, par fax ou mail.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 4 : Mat\u00e9riel en d\u00e9p\u00f4t ou location<\/h3>\n\n\n\n<p>Dans les cas o\u00f9 Matvision met du mat\u00e9riel \u00e0 disposition de son client, que ce soit en vertu d\u2019un d\u00e9p\u00f4t, d\u2019un contrat de location ou de toute autre forme de contrat, le client reste seul responsable, \u00e0 l\u2019\u00e9gard de Matvision, des d\u00e9gradations caus\u00e9es audit mat\u00e9riel ou par ce mat\u00e9riel, sous r\u00e9serve de l\u2019article 10.1 des pr\u00e9sentes conditions g\u00e9n\u00e9rales.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 5 : D\u00e9lais de livraison<\/h3>\n\n\n\n<p>Nos d\u00e9lais de livraison ne sont donn\u00e9s qu\u2019\u00e0 titre indicatif. Un d\u00e9lai ne sera consid\u00e9r\u00e9 comme imp\u00e9ratif que si cela est sp\u00e9cifi\u00e9 comme tel sur le bon de commande. Dans ce cas, le client pourra pr\u00e9tendre \u00e0 une indemnisation du pr\u00e9judice qu\u2019il aura \u00e9tabli, sans que celle-ci puisse exc\u00e9der 10% du montant total de la commande. Nous sommes n\u00e9anmoins lib\u00e9r\u00e9s de tout d\u00e9lai (m\u00eame imp\u00e9ratif) en cas de force majeure (en ce compris : gr\u00e8ves, incidents d\u2019ordre technique, retard du fournisseur ou rupture de stock), ainsi qu\u2019au cas o\u00f9 le client ne respecte pas les conditions de paiement ou demande de changements (modification, suppl\u00e9ment) dans les produits ou services command\u00e9s ou ne nous fournit pas les informations demand\u00e9es dans le d\u00e9lai sp\u00e9cifi\u00e9. En tout \u00e9tat de cause, notre responsabilit\u00e9 se limite aux d\u00e9lais entre la commande et l\u2019exp\u00e9dition de la marchandise au client par nos soins. Nous n\u2019assumons aucune responsabilit\u00e9 des retards imputables \u00e0 un transporteur \u00e9ventuel externe ou si le client transporte lui-m\u00eame la marchandise.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 6 : R\u00e9serve de propri\u00e9t\u00e9<\/h3>\n\n\n\n<p>Nous conservons notre droit de propri\u00e9t\u00e9 sur les marchandises vendues jusqu&#8217;au paiement int\u00e9gral du prix et de ses accessoires (frais \u00e9ventuels, int\u00e9r\u00eats et p\u00e9nalit\u00e9s). Les risques de perte ou de d\u00e9t\u00e9rioration des biens ainsi que la responsabilit\u00e9 des dommages qu\u2019ils pourraient occasionner sont transf\u00e9r\u00e9s au client d\u00e8s l\u2019exp\u00e9dition des marchandises. Le transfert de propri\u00e9t\u00e9 physique des marchandises n\u2019affecte en rien la tutularit\u00e9 des droits de propri\u00e9t\u00e9 intellectuelle et des secrets d\u2019affaires sur les marchandises dans le chef de Matvision.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 7 : Prix et paiement<\/h3>\n\n\n\n<p>Tous nos prix s&#8217;entendent hors TVA, sauf mention contraire et \u00e9crite. A d\u00e9faut d&#8217;indication contraire sur la facture, le paiement doit s&#8217;effectuer au grand comptant, sans d\u00e9lai. Les r\u00e9clamations vis\u00e9es \u00e0 l\u2019article 10 ne suspendent pas les obligations de paiement du client.<\/p>\n\n\n\n<p>Les prix ne comprennent pas les frais de port \u00e9ventuels des marchandises vendues, lesquels restent \u00e0 charge du client, sauf mention contraire expresse et \u00e9crite.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 8 : D\u00e9faut de paiement<\/h3>\n\n\n\n<p>Nous nous r\u00e9servons le droit, en cas de non-paiement ou de paiement tardif d&#8217;une facture, de m\u00eame qu\u2019en cas d\u2019apparition de tout \u00e9v\u00e9nement susceptible de r\u00e9v\u00e9ler une diminution de la solvabilit\u00e9 apparente du client, et \u00e0 condition que le client n\u2019y rem\u00e9die pas dans un d\u00e9lai de trente (30) jours calendrier \u00e0 compter de la r\u00e9ception d\u2019une mise en demeure \u00e9crite, de mettre fin au contrat ou d&#8217;annuler\/suspendre des livraisons restant \u00e0 effectuer, sans que le client soit en droit de r\u00e9clamer une quelconque indemnit\u00e9. Dans ce cas, le client nous sera redevable des indemnit\u00e9s stipul\u00e9es aux articles 3 et 9 des pr\u00e9sentes conditions g\u00e9n\u00e9rales.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 9 : Int\u00e9r\u00eats et indemnit\u00e9s de retard<\/h3>\n\n\n\n<p>Toute somme impay\u00e9e \u00e0 son \u00e9ch\u00e9ance portera de plein droit, sans mise en demeure pr\u00e9alable, un int\u00e9r\u00eat moratoire conventionnel de 1% par mois \u00e0 dater de l&#8217;\u00e9ch\u00e9ance de la facture, tout mois entam\u00e9 \u00e9tant d\u00fb en entier. En outre, toute somme impay\u00e9e \u00e0 son \u00e9ch\u00e9ance sera major\u00e9e de plein droit et sans mise en demeure pr\u00e9alable d&#8217;une indemnit\u00e9 conventionnelle forfaitaire et irr\u00e9vocable d&#8217;un montant de 10% du solde restant d\u00fb avec un minimum de 100 \u20ac sans pr\u00e9judice de tous autres dommages et\/ou int\u00e9r\u00eats. Tout paiement partiel sera imput\u00e9 d\u2019abord sur les int\u00e9r\u00eats de retard, ensuite sur le principal, conform\u00e9ment aux dispositions du Code Civil, nonobstant le contenu de tout d\u00e9compte et de toute imputation interm\u00e9diaire ant\u00e9rieurement communiqu\u00e9s.<\/p>\n\n\n\n<p>En outre, le d\u00e9faut de paiement d\u2019une seule facture \u00e0 son \u00e9ch\u00e9ance entra\u00eenera la d\u00e9ch\u00e9ance du terme de toutes les autres factures d\u00e9j\u00e0 \u00e9mises par nous ou \u00e0 \u00e9mettre, ainsi que la perte de tout rabais, ristournes, remises \u00e9ventuellement consentis par nous mais non encore r\u00e9gl\u00e9s.<\/p>\n\n\n\n<p>Toute d\u00e9duction unilat\u00e9rale de la part du client sur l\u2019un de ses paiements serait consid\u00e9r\u00e9e comme un d\u00e9faut de paiement et pourra entra\u00eener l\u2019ensemble des cons\u00e9quences ci-dessus.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 10 : Contestation de facturation<\/h3>\n\n\n\n<p>En cas de contestation du client sur une partie des montants factur\u00e9s par nous, il s\u2019oblige \u00e0 payer l\u2019incontestablement d\u00fb dans les conditions sp\u00e9cifi\u00e9es, \u00e0 peine d\u2019encourir, \u00e0 tout le moins \u00e0 raison de ces montants, toutes les p\u00e9nalit\u00e9s pr\u00e9vues.<\/p>\n\n\n\n<p>Toute contestation \u00e9ventuelle quant \u00e0 la facture n\u2019est recevable qu&#8217;\u00e0 condition de nous avoir \u00e9t\u00e9 adress\u00e9e \u00e0 notre si\u00e8ge par lettre recommand\u00e9e \u00e0 la poste avec accus\u00e9 de r\u00e9ception, dans les cinq jours de la r\u00e9ception de la facture faisant l\u2019objet d\u2019une contestation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 11 : R\u00e9clamations et responsabilit\u00e9<\/h3>\n\n\n\n<h3 class=\"wp-block-heading\">11.1 &nbsp;&nbsp; R\u00e9clamations li\u00e9es aux produits<\/h3>\n\n\n\n<p>En cas de d\u00e9faut des produits fournis, les r\u00e9clamations ne sont recevables qu&#8217;\u00e0 condition de nous avoir \u00e9t\u00e9 adress\u00e9es \u00e0 notre si\u00e8ge par lettre recommand\u00e9e \u00e0 la poste avec accus\u00e9 de r\u00e9ception, dans les cinq jours de la r\u00e9ception du produit\/des marchandises pour les d\u00e9fauts apparents ou, pour les vices cach\u00e9s, de la date o\u00f9 le client prend connaissance du vice.<\/p>\n\n\n\n<p>Si la r\u00e9clamation est reconnue justifi\u00e9e, par nous-m\u00eames, nos obligations se limiteront exclusivement \u00e0 la r\u00e9paration ou au remplacement des marchandises, \u00e0 notre choix, sans que nous puissions \u00eatre tenus \u00e0 une indemnit\u00e9 quelconque, de quelque chef que ce soit, pour les dommages directes ou indirectes, sauf l\u2019hypoth\u00e8se du dol ou de la faute lourde dans notre chef. Si la d\u00e9fectuosit\u00e9 existe en raison de l\u2019\u00e9tat de la marchandise visible \u00e0 la livraison, toute contestation \u00e0 raison de cet \u00e9tat des marchandises doit faire l\u2019objet de r\u00e9serves consign\u00e9es sur le bordereau de livraison, sign\u00e9 par le r\u00e9ceptionnaire et contresign\u00e9 par le livreur, toute r\u00e9clamation ult\u00e9rieure \u00e9tant d\u00e9clar\u00e9e irrecevable.<\/p>\n\n\n\n<p>Par ailleurs, notre responsabilit\u00e9 ne peut \u00eatre engag\u00e9e au cas o\u00f9 les produits vendus, ou livr\u00e9s seraient entrepos\u00e9s chez le client dans des conditions anormales ou incompatibles avec leur nature ou auraient subi des d\u00e9t\u00e9riorations entre la date de livraison chez le client et leur utilisation. Le client tiendra compte des modes d\u2019emploi et d\u2019autres lignes directrices pour le fonctionnement optimal des machines (p.ex. m\u00e9lange des mati\u00e8res \u00e0 traiter). &nbsp;<\/p>\n\n\n\n<p>En tout \u00e9tat de cause, malgr\u00e9 tout le soin que nous mettons \u00e0 conseiller notre client\u00e8le, notre responsabilit\u00e9 ne peut \u00eatre engag\u00e9e si le produit ne couvre pas l\u2019int\u00e9gralit\u00e9 des besoins du client.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">11.2&nbsp;&nbsp;&nbsp; R\u00e9clamations li\u00e9es aux services<\/h3>\n\n\n\n<p>Les r\u00e9clamations relatives aux services fournis doivent \u00eatre formul\u00e9es par \u00e9crit et adress\u00e9es \u00e0 notre si\u00e8ge social par lettre recommand\u00e9e avec accus\u00e9 de r\u00e9ception dans les cinq jours ouvrables suivant la prestation du service. Si nous reconnaissons la r\u00e9clamation comme justifi\u00e9e, notre responsabilit\u00e9 se limitera \u00e0 la correction du service, sans aucune obligation de compensation financi\u00e8re ou indemnit\u00e9 de notre part, sauf en cas de dol ou faute lourde av\u00e9r\u00e9e.<\/p>\n\n\n\n<p>Nous veillons \u00e0 fournir des conseils et des services r\u00e9pondant aux besoins de nos clients. Il s\u2019agit d\u2019une obligation de moyens et non de r\u00e9sultat. \u00c9tant donn\u00e9 que nos solutions int\u00e8grent des technologies innovantes, nouvelles et high-tech, l&#8217;utilisation de nos syst\u00e8mes et services est inexorablement li\u00e9e \u00e0 des incertitudes. Ces incertitudes justifient l&#8217;absence de garantie de r\u00e9sultats. Par cons\u00e9quent, notre responsabilit\u00e9 ne peut \u00eatre engag\u00e9e si les r\u00e9sultats ne correspondent pas int\u00e9gralement aux attentes du client.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">11.3&nbsp;&nbsp;&nbsp; G\u00e9n\u00e9ral<\/h3>\n\n\n\n<p>Dans la mesure permise par le droit applicable (et que le manquement soit ou non de nature d\u00e9lictuelle), i) tout manquement par l&#8217;une des parties sera r\u00e9gie exclusivement par le contrat et, en outre, par le droit des contrats, \u00e0 l&#8217;exclusion de la responsabilit\u00e9 extracontractuelle&nbsp;; et ii) toute action en responsabilit\u00e9 extracontractuelle due au manquement par une personne auxiliaire au contrat est exclue.<\/p>\n\n\n\n<p>Notre responsabilit\u00e9 ne saurait \u00eatre engag\u00e9e pour les dommages indirects, tels que la perte de production, la perte de profit, ou les frais de personnel dus \u00e0 l&#8217;arr\u00eat des moyens de production du client. Dans le cas o\u00f9 les produits fournis entra\u00eenent un arr\u00eat des moyens de production du client, Matvision ne pourra \u00eatre tenu responsable des dommages et int\u00e9r\u00eats li\u00e9s \u00e0 la perte de production, de profit et aux co\u00fbts du personnel immobilis\u00e9 pendant cette p\u00e9riode.<\/p>\n\n\n\n<p>Dans les limites autoris\u00e9es par le droit applicable, notre responsabilit\u00e9 pour tout dommage r\u00e9sultant de ou li\u00e9 au contrat (y compris aux produits et\/ou services) est limit\u00e9e, par sinistre, au montant pay\u00e9 par l\u2019assurance et, en cas de non couverture et non-paiement par l\u2019assurance, \u00e0 50% du montant total hors TVA effectivement pay\u00e9 par le client \u00e0 Matvision au titre du contrat concern\u00e9. &nbsp;&nbsp;<\/p>\n\n\n\n<p>Aucune clause du pr\u00e9sent contrat ne lib\u00e8re les parties de leur responsabilit\u00e9 du fait de leur dol, de leur faute grave ou de celle de leurs pr\u00e9pos\u00e9s ou, sauf en cas de force majeure, du fait de toute inex\u00e9cution des engagements essentiels qui font l\u2019objet du contrat, sans qu\u2019aucune exception au plafond de responsabilit\u00e9 pr\u00e9vu au contrat ne puisse en r\u00e9sulter.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 12 : Confidentialit\u00e9<\/h3>\n\n\n\n<p>11.1. Toutes les informations fournies par Matvision ne seront pas rendues publics par le client ni communiqu\u00e9es \u00e0 des tiers et seront utilis\u00e9es uniquement pour l\u2019utilisation des machines et des r\u00e9sultats des services de Matvision. Ces obligations de confidentialit\u00e9 survivront \u00e0 la fin du contrat pendant une dur\u00e9e de cinq (5) ans \u00e0 compter de la fin du contrat ; toutefois, pour toute information constituant un secret d\u2019affaires au sens du droit applicable, ces obligations resteront en vigueur aussi longtemps que ladite information demeurera un secret d\u2019affaires.<\/p>\n\n\n\n<p>11.2. Le client s\u2019engage de n\u2019impliquer que les personnes et sous-traitants qui sont n\u00e9cessaires \u00e0 ces utilisations et imposera \u00e0 ceux-ci la m\u00eame obligation de confidentialit\u00e9 que celle vis\u00e9e au pr\u00e9sent article. Le client sera responsable en cas de manquement \u00e0 cette obligation par les personnes et sous-traitants qui sont n\u00e9cessaires \u00e0 ces utilisations.<\/p>\n\n\n\n<p>11.3. Le client s\u2019abstiendra de l\u2019ing\u00e9nierie inverse (p.ex. d\u00e9monter les machines fournies) dans l\u2019objectif d\u2019obtenir et\/ou de divulguer les secrets d\u2019affaires de Matvision.<\/p>\n\n\n\n<p>11.4. Les paragraphes 1 et 2 du pr\u00e9sent article 11 ne s\u2019appliquent pas \u00e0 toutes les informations qui rel\u00e8vent du domaine public ou dont le client avait d\u00e9j\u00e0 pris connaissance au moment o\u00f9 elles sont d\u00e9voil\u00e9es par Matvision, et ne s\u2019appliquent plus si ces informations tombent dans le domaine public \u00e0 tout moment<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 13&nbsp;: Donn\u00e9es \u00e0 caract\u00e8re personnel<\/h3>\n\n\n\n<p>Matvision est susceptible de collecter les donn\u00e9es \u00e0 caract\u00e8re personnel de ses clients. Dans ce cas, Matvision se conforme au R\u00e8glement 2016\/679 du Parlement Europ\u00e9en et du Conseil, du 27\/04\/2016 (R\u00e8glement g\u00e9n\u00e9ral sur la Protection des donn\u00e9es).<\/p>\n\n\n\n<p>Les informations relatives aux traitements mis en \u0153uvre par Matvision sont d\u00e9crites dans la Politique de Confidentialit\u00e9.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 14&nbsp;: Propri\u00e9t\u00e9 intellectuelle<\/h3>\n\n\n\n<p>Matvision &nbsp;reste propri\u00e9taire de l\u2019ensemble des droits de propri\u00e9t\u00e9 intellectuelle (notamment droits d\u2019auteur, droits sur logiciels, brevets, dessins et mod\u00e8les, marques, noms commerciaux, savoir-faire, secrets d\u2019affaires), ainsi que tous documents et r\u00e9sultats r\u00e9alis\u00e9s ou communiqu\u00e9s par Matvision dans le cadre de l\u2019offre, de l\u2019ex\u00e9cution du contrat ou des prestations.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 15 : Validit\u00e9 des clauses<\/h3>\n\n\n\n<p>La nullit\u00e9 ou l\u2019inapplicabilit\u00e9 d\u2019une des clauses du pr\u00e9sent acte n\u2019affectera pas les autres clauses. Les parties tenteront, dans cette hypoth\u00e8se, de remplacer la clause incrimin\u00e9e par une disposition proche d\u2019un point de vue \u00e9conomique.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 16 : Droit applicable et juridiction<\/h3>\n\n\n\n<p>Ces conditions sont r\u00e9gies par le droit belge. In the event of any discrepancy, inconsistency or divergence of interpretation between the English version and the French version, the French version shall prevail and be binding.<\/em><\/p>\n\n\n\n<p><strong>Article 1 \u2013 Scope of Application<\/strong><\/p>\n\n\n\n<p>Unless otherwise expressly agreed in writing between the parties, all provisions of these general terms and conditions of Matvision SRL (details provided below) shall apply to all agreements, whether current or future, entered into by us with our customers. The customer\u2019s general terms and conditions, as well as any amendments made by the customer to our general and\/or specific terms and conditions, shall in no event be binding upon us unless expressly accepted by us in writing. The fact that we do not invoke a provision of these general terms and conditions at any given time shall never be construed as a waiver of our right to invoke such provision at a later stage.<\/p>\n\n\n\n<p><strong>Article 2 \u2013 Feasibility Study<\/strong><\/p>\n\n\n\n<p>Where the customer sends materials to us in order to enable us to assess the feasibility of a potential collaboration, such materials are sent at the customer\u2019s sole risk. The customer shall ensure appropriate, secure and suitable packaging. The customer shall be solely responsible for any accidents resulting from inadequate packaging and for any damage arising therefrom.<\/p>\n\n\n\n<p>The customer shall indemnify and hold harmless Matvision, its affiliated companies, as well as their directors, officers, employees and agents, against any third-party claims, liabilities, damages, costs and expenses (including reasonable legal fees) arising directly or indirectly from such accidents.<\/p>\n\n\n\n<p>The customer shall duly and expressly inform Matvision in writing of any hazardous nature of the materials sent and of any specific measures required for their handling.<\/p>\n\n\n\n<p>Given the purpose of assessing the materials, the customer accepts the risk of deterioration of the materials during testing or handling, as well as the risk of loss during transport. Matvision\u2019s liability in this respect is excluded, except in cases of wilful misconduct or gross negligence on the part of Matvision that directly caused the loss or deterioration. Upon completion of the feasibility study or upon Matvision\u2019s request, the customer shall ensure that the materials are collected as soon as possible.<\/p>\n\n\n\n<p><strong>Article 3 \u2013 Orders<\/strong><\/p>\n\n\n\n<p>Our offers are valid for a period of one (1) month. Any cancellation by the customer of an order shall automatically give rise to the payment of a fixed and irrevocable indemnity equal to the amounts already paid to confirm the order, with a minimum of thirty percent (30%) of the total order price, in our favour. This indemnity is intended to cover administrative costs incurred for the preparation of offers, correspondence, stock management, as well as loss of profit. Any order that has been delivered is due and payable in full.<\/p>\n\n\n\n<p>All orders are firm and final, whether placed by telephone, in writing, by fax or by email.<\/p>\n\n\n\n<p><strong>Article 4 \u2013 Equipment Provided on Deposit or Lease<\/strong><\/p>\n\n\n\n<p>Where Matvision makes equipment available to the customer, whether under a deposit arrangement, a lease agreement or any other contractual form, the customer shall remain solely liable vis-\u00e0-vis Matvision for any damage caused to such equipment or by such equipment, subject to Article 10.1 of these general terms and conditions.<\/p>\n\n\n\n<p><strong>Article 5 \u2013 Delivery Times<\/strong><\/p>\n\n\n\n<p>Delivery times are provided for information purposes only. A delivery time shall be deemed binding only if expressly stated as such on the order form. In such case, the customer may claim compensation for the proven damage suffered, which shall in no event exceed ten percent (10%) of the total order amount.<\/p>\n\n\n\n<p>We shall, however, be released from any delivery deadline, including binding deadlines, in the event of force majeure (including strikes, technical incidents, supplier delays or stock shortages), as well as where the customer fails to comply with payment terms, requests changes or additions to the ordered products or services, or fails to provide requested information within the specified timeframe.<\/p>\n\n\n\n<p>In any event, our liability is strictly limited to the period between the order and the dispatch of the goods by us. We assume no liability for delays attributable to third-party carriers or where the customer transports the goods itself.<\/p>\n\n\n\n<p><strong>Article 6 \u2013 Retention of Title<\/strong><\/p>\n\n\n\n<p>We retain ownership of the goods sold until full payment of the price and all related accessories (including costs, interest and penalties). The risks of loss or deterioration of the goods, as well as liability for any damage they may cause, shall pass to the customer upon dispatch of the goods. The physical transfer of ownership of the goods shall in no way affect Matvision\u2019s ownership of intellectual property rights and trade secrets relating to the goods.<\/p>\n\n\n\n<p><strong>Article 7 \u2013 Prices and Payment<\/strong><\/p>\n\n\n\n<p>All prices are exclusive of VAT, unless expressly stated otherwise in writing. Unless otherwise indicated on the invoice, payment shall be made immediately, without delay. Complaints as referred to in Article 10 do not suspend the customer\u2019s payment obligations.<\/p>\n\n\n\n<p>Prices do not include any shipping costs, which shall remain at the customer\u2019s expense unless expressly agreed otherwise in writing.<\/p>\n\n\n\n<p><strong>Article 8 \u2013 Non-Payment<\/strong><\/p>\n\n\n\n<p>In the event of non-payment or late payment of an invoice, or upon the occurrence of any event likely to indicate a deterioration in the customer\u2019s apparent solvency, and provided that the customer fails to remedy such situation within thirty (30) calendar days following receipt of a written notice of default, we reserve the right to terminate the contract or cancel or suspend any remaining deliveries, without the customer being entitled to claim any compensation. In such case, the customer shall remain liable for the indemnities provided for in Articles 3 and 9 of these general terms and conditions.<\/p>\n\n\n\n<p><strong>Article 9 \u2013 Late Payment Interest and Penalties<\/strong><\/p>\n\n\n\n<p>Any amount unpaid at its due date shall automatically and without prior notice bear a contractual default interest of one percent (1%) per month as from the invoice due date, any commenced month being deemed payable in full.<\/p>\n\n\n\n<p>In addition, any amount unpaid at its due date shall automatically and without prior notice be increased by a fixed and irrevocable contractual indemnity equal to ten percent (10%) of the outstanding balance, with a minimum of EUR 100, without prejudice to any other damages and\/or interest. Any partial payment shall first be allocated to late payment interest and subsequently to the principal, in accordance with the Civil Code, notwithstanding any prior statement of account or allocation communicated.<\/p>\n\n\n\n<p>Furthermore, failure to pay a single invoice at its due date shall result in the immediate acceleration of all other invoices already issued or to be issued by us, as well as the forfeiture of any rebates, discounts or allowances granted but not yet settled.<\/p>\n\n\n\n<p>Any unilateral deduction made by the customer from a payment shall be deemed a failure to pay and may trigger all of the above consequences.<\/p>\n\n\n\n<p><strong>Article 10 \u2013 Invoice Disputes<\/strong><\/p>\n\n\n\n<p>In the event of a dispute by the customer regarding part of the invoiced amounts, the customer undertakes to pay the undisputed portion under the specified conditions, failing which all penalties provided for shall apply at least to such amounts.<\/p>\n\n\n\n<p>Any invoice dispute shall be admissible only if sent to our registered office by registered letter with acknowledgment of receipt within five (5) days of receipt of the disputed invoice.<\/p>\n\n\n\n<p><strong>Article 11 \u2013 Complaints and Liability<\/strong><\/p>\n\n\n\n<p><strong>11.1 Product-Related Complaints<\/strong><\/p>\n\n\n\n<p>In the event of defects in the products supplied, complaints shall be admissible only if sent to our registered office by registered letter with acknowledgment of receipt within five (5) days of receipt of the product or goods in the case of apparent defects, or, in the case of hidden defects, from the date on which the customer becomes aware of the defect.<\/p>\n\n\n\n<p>If the complaint is acknowledged as justified by us, our obligations shall be strictly limited, at our discretion, to the repair or replacement of the goods, without any liability for compensation of any kind, whether for direct or indirect damages, except in cases of wilful misconduct or gross negligence on our part. Where the defect is apparent upon delivery, any complaint relating to the condition of the goods must be recorded as a reservation on the delivery note, signed by the recipient and countersigned by the carrier, failing which any subsequent complaint shall be inadmissible.<\/p>\n\n\n\n<p>Our liability shall also be excluded where the products sold or delivered have been stored by the customer under abnormal conditions or conditions incompatible with their nature, or have deteriorated between delivery and use. The customer shall comply with operating instructions and other guidelines for optimal operation of the machines (for example mixing of materials).<\/p>\n\n\n\n<p>In any event, notwithstanding the care taken in advising our customers, our liability shall not be engaged if the product does not fully meet the customer\u2019s needs.<\/p>\n\n\n\n<p><strong>11.2 Service-Related Complaints<\/strong><\/p>\n\n\n\n<p>Complaints relating to services provided must be made in writing and sent to our registered office by registered letter with acknowledgment of receipt within five (5) working days following the provision of the service. If we acknowledge the complaint as justified, our liability shall be limited to correcting the service, without any financial compensation or indemnity, except in cases of proven wilful misconduct or gross negligence.<\/p>\n\n\n\n<p>We undertake to provide advice and services in line with customer needs. This constitutes an obligation of means, not of result. Given that our solutions incorporate innovative, new and high-tech technologies, the use of our systems and services is inherently subject to uncertainties. These uncertainties justify the absence of any guarantee of results. Consequently, our liability shall not be engaged if the results do not fully meet the customer\u2019s expectations.<\/p>\n\n\n\n<p><strong>11.3 General<\/strong><\/p>\n\n\n\n<p>To the extent permitted by applicable law, and whether or not the breach is of a tortious nature, (i) any breach by a party shall be governed exclusively by the contract and contract law, to the exclusion of non-contractual liability; and (ii) any non-contractual liability arising from a breach by an auxiliary person involved in the performance of the contract is excluded.<\/p>\n\n\n\n<p>Our liability shall not be engaged for indirect damages, such as loss of production, loss of profit, or personnel costs resulting from a shutdown of the customer\u2019s production facilities. Where the products supplied cause a shutdown of the customer\u2019s production facilities, Matvision shall not be liable for damages relating to loss of production, loss of profit or personnel costs incurred during such period.<\/p>\n\n\n\n<p>Within the limits permitted by applicable law, our liability for any damage arising from or related to the contract (including products and\/or services) shall be limited, per claim, to the amount paid by our insurance and, where not covered or not paid by insurance, to fifty percent (50%) of the total amount excluding VAT actually paid by the customer to Matvision under the relevant contract.<\/p>\n\n\n\n<p>Nothing in this contract shall release the parties from liability arising from wilful misconduct, gross negligence or that of their agents, or, except in cases of force majeure, from failure to perform essential contractual obligations, without any resulting exception to the contractual liability cap.<\/p>\n\n\n\n<p><strong>Article 12 \u2013 Confidentiality<\/strong><\/p>\n\n\n\n<p>12.1 All information provided by Matvision shall not be made public by the customer nor disclosed to third parties and shall be used solely for the operation of Matvision\u2019s machines and the use of the results of Matvision\u2019s services. These confidentiality obligations shall survive termination of the contract for a period of five (5) years from termination. However, with respect to any information qualifying as a trade secret under applicable law, such obligations shall remain in force for as long as such information remains a trade secret.<\/p>\n\n\n\n<p>12.2 The customer undertakes to involve only those persons and subcontractors strictly necessary for such use and shall impose on them confidentiality obligations equivalent to those set out in this Article. The customer shall remain liable for any breach of such obligations by those persons or subcontractors.<\/p>\n\n\n\n<p>12.3 The customer shall refrain from reverse engineering, for example dismantling the machines supplied, for the purpose of obtaining and\/or disclosing Matvision\u2019s trade secrets.<\/p>\n\n\n\n<p>12.4 Paragraphs 12.1 and 12.2 shall not apply to information that is in the public domain or already known to the customer at the time of disclosure by Matvision, and shall cease to apply if such information enters the public domain without breach by the customer, or where the customer can demonstrate that the information was lawfully obtained from a third party not bound by a confidentiality obligation.<\/p>\n\n\n\n<p><strong>Article 13 \u2013 Personal Data<\/strong><\/p>\n\n\n\n<p>Matvision may collect personal data relating to its customers. In such case, Matvision complies with Regulation (EU) 2016\/679 of the European Parliament and of the Council of 27 April 2016 (General Data Protection Regulation).<\/p>\n\n\n\n<p>Information relating to processing activities carried out by Matvision is described in the Privacy Policy, available at the following address: [link to be provided by Matvision].<\/p>\n\n\n\n<p><strong>Article 14 \u2013 Intellectual Property<\/strong><\/p>\n\n\n\n<p>Matvision remains the sole owner of all intellectual property rights, including copyrights, software rights, patents, designs, trademarks, trade names, know-how and trade secrets, as well as all documents and results produced or communicated by Matvision in connection with the offer, performance of the contract or services.<\/p>\n\n\n\n<p><strong>Article 15 \u2013 Severability<\/strong><\/p>\n\n\n\n<p>The invalidity or unenforceability of any provision of these terms and conditions shall not affect the validity of the remaining provisions. In such case, the parties shall endeavour to replace the invalid provision with a provision that is economically equivalent.<\/p>\n\n\n\n<p><strong>Article 16 \u2013 Governing Law and Jurisdiction<\/strong><\/p>\n\n\n\n<p>These terms and conditions are governed by Belgian law.
